Terms of Service

1. Introduction
These terms of service (the "Terms") apply to the Rundown software-as-a-service platform ("Service") offered by Protone Media B.V., registered in the Netherlands under company number 74459414, hereinafter referred to as "Protone Media", "we", "us", or "our". Rundown transforms GitHub commits into professional client reports. By using our Service, you ("User", "You") agree to comply with and be bound by these Terms. If you do not agree to these Terms, you should not use our Service.
These Terms are in addition to the NLdigital Terms, which apply to all offers and agreements for which Protone Media delivers goods and/or services, and have been filed at the Rechtbank Midden-Nederland in Utrecht. The NLdigital Voorwaarden can be viewed below or downloaded in PDF format.
2. Definitions
- Service: The Rundown software-as-a-service platform, including all features, functionalities, and documentation.
- Subscription: The recurring payment plan that grants access to the Service.
- Project: A single client configuration within the Service, which may include multiple connected GitHub repositories.
- Report: The AI-generated client status update created from your GitHub commit history.
3. Service and Usage
3.1 Service Description
Rundown connects to your GitHub repositories via OAuth to read your commit history and code changes. Using AI technology, it generates professional status reports suitable for downloading and sharing with clients. The Service is provided as-is and may be updated or modified at any time.
3.2 GitHub Integration
The Service requires GitHub OAuth authentication to access your repositories. GitHub requires the "repo" scope to access private repositories. Rundown only performs read operations and never modifies your code or repositories. You may revoke this access at any time through your GitHub settings.
3.3 AI-Generated Content
Reports are generated using artificial intelligence. AI-generated content may not be completely accurate and should be independently verified before use. You are responsible for reviewing and editing all reports before downloading or sharing them. Protone Media does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.
3.4 Permitted and Prohibited Use
The Service may be used for generating client status reports based on your own GitHub repositories. You may not use the Service to:
- Access repositories you do not have permission to view
- Generate reports for malicious purposes
- Resell or redistribute the Service without authorization
- Circumvent usage limits or security measures
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated scraping tools, bots, or similar automated data collection methods
- Operate in any way that could damage, disable, or impair the Service
- Use the Service to develop a competing product or service
4. Account Registration
4.1 GitHub Login
You must log in with your GitHub account to create an account and access the Service.
4.2 Account Security and Responsibility
Your account information must be accurate, complete, and kept up-to-date. You are responsible for:
- Maintaining the confidentiality and security of your account credentials
- All activities that occur under your account, regardless of whether authorized by you
- Notifying us immediately of any unauthorized access or security breach
Account sharing between multiple individuals is prohibited. Each user must have their own account.
5. Subscription and Payment
5.1 Subscription Plans
Access to the Service requires a paid subscription. We offer various subscription tiers with different limits on projects, reports, and repositories. A free trial may be available for new users.
5.2 Billing
Subscriptions are billed monthly or annually, depending on your chosen plan. Payments are processed through Paddle, our merchant of record. By subscribing, you agree to Paddle's terms of service.
5.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period.
5.4 Refunds
We offer a 30-day money-back guarantee. If you're not satisfied with Rundown for any reason, contact us within 30 days of your initial purchase for a full refund. Refunds are processed through Paddle in accordance with their refund policy.
5.5 Price Changes
We reserve the right to modify subscription prices. You will be notified of any price changes in advance, and changes will not affect your current billing period.
6. Intellectual Property
6.1 Ownership
Protone Media retains all intellectual property rights in and to the Service. You retain ownership of your code and the content of reports you generate and edit.
6.2 Restrictions
You may not reverse engineer, decompile, or disassemble the Service. You may not copy, modify, or create derivative works of the Service.
7. Data and Privacy
7.1 Data Processing
We process your GitHub data solely to generate reports. Code diffs and commit messages are processed transiently; we do not store your source code beyond what is necessary for report generation.
7.2 Privacy Policy
Your personal data will be handled in accordance with our Privacy Policy .
8. Termination
8.1 Termination by Protone Media
We may terminate or suspend your access to the Service at any time, with or without cause, including for breach of these Terms.
8.2 Termination by You
You may terminate your use of the Service at any time by canceling your subscription and closing your account.
8.3 Effect of Termination
Upon termination, your access to the Service will cease. Any data associated with your account may be deleted after a reasonable retention period.
9. Disclaimer of Warranties
9.1 "As Is"
The Service is provided "as is" without any warranties, express or implied. Protone Media does not warrant that the Service will meet your requirements or that its operation will be uninterrupted or error-free.
9.2 Limitation of Liability
To the extent permitted by applicable law, Protone Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.
Liability Cap: In no event shall Protone Media's total liability to you for all claims arising from or related to the Service exceed the total amount you have paid to Protone Media in the twelve (12) months immediately preceding the event giving rise to such liability.
10. Indemnification
You agree to indemnify and hold harmless Protone Media, its affiliates, and their respective directors, officers, employees, and agents from any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or breach of these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or related to these Terms shall be resolved in the courts of the Netherlands.
12. General Provisions
12.1 Entire Agreement
These Terms, along with the NLdigital Terms and our Privacy Policy, constitute the entire agreement between you and Protone Media regarding the Service and supersede all prior agreements and understandings.
12.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
12.3 Amendments
Protone Media reserves the right to modify these Terms at any time. Your continued use of the Service following any such modification constitutes your acceptance of the modified Terms.
